If you are aware of any violation of the following corporate governance rules, committed by any our directors, officers or employees, related to the following:

Violation of the Corporate Governance Rules
Violation of the Code of Ethics and Company Code of Employee Discipline or other similar codes
Financial Malfeasance including those relating to financial fraud and questionable accounting and auditing matters

We collect your name, address, employee number, job title/position, company/office, contact number, email address, and signature solely to facilitate action on the Violation of Corporate Governance Rules and/or Retaliation Protection report you have submitted. These are accessed by Corporate Governance Office who hold such information under strict confidentiality. These are retained while any of the involved parties is employed in Meralco and shall be disposed of accordingly thereafter.

Corporate Governance Champions

The Company adheres to the principles of fairness, accountability, integrity, transparency, and honesty as its core values of sound corporate governance. Commitment to these values aids the Company in sustaining an ethical culture where management and employees have high regard for legal and regulatory compliance, integrity and business ethics and zero-tolerance for improper behavior.

In line with this, corporate governance policies including the Revised Manual of Corporate Governance and Revised Code of Ethics are issued to guide the Board of Directors, officers, executives, and employees of MERALCO in doing what is right. In order to cascade and instill these policies throughout the organization, the Corporate Governance and Compliance Office (CGCO) regularly conducts corporate governance roadshows and information drive, including the Corporate Governance Refresher being taken by all employees every January.

The Governance Champions Program was officially launched on February 22, 2023. These Governance Champions were nominated by Meralco DU and Subsidiary Heads to represent their respective organizations in advocating good governance and ethical behavior and assist in the development and conduct of corporate governance awareness and compliance programs for the employees.

Key Champion Roles:

To represent the organizations in advocating good governance and ethical behavior, and assist in the development and conduct of corporate governance awareness and compliance programs;
To help oversee within each organization the implementation of, and compliance with, corporate governance disclosure requirements;
To raise issues or concerns to the CGO regarding policy and program development and enforcement, and
To provide assistance in the handling of governance related reports and incidents.
