Powering more than 45,000 over-the-counter payment locations and leading online and mobile payment applications, the company recently rebranded as “Bayad”, launching its new identity, as well as introducing its revitalized all-in-one pera transaction mobile app and new online payment facility, Bayad App and Online. Providing a seamless onsite-to-online customer experience that caters to both traditional and next generation of payers, Bayad cements itself as the authority in payments. |

Meralco Energy, Inc. ("MSERV") MServ is a wholly owned subsidiary of MERALCO. It is a one-stop shop for energy services and solutions that will guarantee total system efficiency for customer facilities. MServ’s scope of activities include Engineering, Procurement and Construction (“ECP”) Installation of Electrical and Mechanical Facilities and Engineering Services. Its expertise is in the EPC of electrical facilities such as substations, powerhouses, and transmission lines. MServ offers low voltage/load side distribution services capitalizing on its capability to value-engineer electrical designs. MServ can also provide energy efficiency and urban services such as energy management system, smart streetlighting, sewage treatment plant, heating, ventilation and air conditioning and lighting solutions. MServ is a AAA PCAB-licensed company and a DOE-accredited Energy Service Company. |

eMeralco Ventures, Inc. ("e-MVI") e-MVI is a wholly-owned subsidiary of MERALCO. It was established on June 22, 2000. Through a wholly-owned subsidiary, Paragon Vertical, Inc., it owns 100% of the equity in Radius Telecoms, Inc. (“Radius”). Radius holds a congressional telecommunications franchise to construct, install, establish, operate, and maintain for commercial purposes and in the public interest, the business of providing basic and enhanced telecommunications services in the Philippines, and between the Philippines and other countries and territories. |

Meralco Financial Services Corporation ("Finserve") Finserve was incorporated on March 19, 2002 as a wholly-owned subsidiary of MERALCO. Lighthouse Overseas Insurance Limited ("LOIL") LOIL, Meralco’s wholly-owned subsidiary and captive reinsurer, is registered as a Class 1 insurer under The Bermuda InsuranceAct 1978 and Related Regulations. LOIL was incorporated in Bermuda in 2007 and received its license to operate in the territory in 2008. Together with Republic Surety and Insurance Company, Inc., LOIL plays a major role in Meralco’s business risk management model. LOIL serves as the vehicle to reinsure Meralco’s major catastrophic risk exposure. |

Clark Electric Distribution Corp. |
Clark Electric Distribution Corporation ("CEDC") CEDC is 65% owned by MERALCO. CEDC is the grantee of a franchise to distribute electric power in the Clark Special Economic Zone (“CSEZ”), site of the former U.S. Clark Air Base in the Philippines transformed into a premier economic zone comprising the Clark Freeport Zone (“CFZ”) and contiguous subzones. CEDC serves a total of 2,613 customers composed of commercial (54.7%), industrial (43.2%), and residential and streetlight (2.1%) accounts based on kwh sold. |

Meralco Industrial Engineering Services Corporation ("MIESCOR") MIESCOR is a wholly owned subsidiary of MERALCO and was formerly its Plant and Engineering Department. For 48 years, MIESCOR has provided safe, quality, timely, smart and best value services in the fields of power generation, transmission, distribution, as well as industrial plants, water resources, utility attachment, trading, and telecommunications. Backed by a highly competent technical team, the company has also provided consultancy, engineering, and integration services to major telecommunication service providers. |

Shin Clark Power Holdings, Inc. Shin Clark Power Holdings, Inc. is a 60% owned subsidiary which provides electricity services in New Clark City (“NCC”). The 9,450-hectare NCC span through Angeles City in Pampanga and the towns of Capas and Bamban in Tarlac. |

Phoenix Power Solutions, Inc. ("Phoenix Power") Phoenix Power is a Retail Electricity Supplier wholly-owned by the MERALCO. Phoenix Power was established to provide electricity to contestable customers in Luzon through solutions tailored to each client’s needs bundled with exceptional customer service. |
Shareholding Structure
The Company’s shares are held directly by the foregoing named shareholders. There is no known holding or crossholding of shares. There is no pyramid shareholding structure within the Group.
Rights and Equitable Treatment of Shareholders
The Company treats its shareholders in an equitable manner and upholds their statutory rights, including the right to participate and vote in matters concerning:
- Changes in the Company’s constitutional documents, such as amendments to its Articles of Incorporation or By-laws;
- Authorization for issuance of new shares or sale or transfer of the Company’s substantial or major assets;
- Annual Stockholders' Meeting (ASM);
- Election of members of the board of directors and board remuneration; and
- Appointment of external auditors.
Dividend Policy
The Company’s dividend policy calls for the payment of regular cash dividends equivalent to 50% of core earnings for the year with a “look-back” basis, which allows the Company to pay special dividends of up to 50% of the core earnings for the year, subject to availability of unrestricted retained earnings and cash, in accordance with the guidelines of the Securities and Exchange Commission (SEC).
