Articles of Incorporation and By Laws
Meralco is governed by its articles of incorporation and by-laws. These documents set forth the structure of the board and the Company. They guide the board in the formulation of decisions and strategies relevant to the core business of the Company.
Articles of Incorporation
The Articles of Incorporation states the name, purpose, place of office, incorporators, capital stock, and term of the Company upon its establishment.
By-Laws
The By-Laws outline the rules on annual and special meetings, voting, quorum, notice of meeting and auditors and inspectors of election. They further emphasize procedures for qualification, nomination, election and compensation of the directors. The By-Laws also identify the officers of the company and their functions. They also provide policies on dividends, contracts and obligations, stock certificates, transfers and remedies in case of lost stock certificates. Ultimately, the By-Laws state the manner of amendments and extent of responsibilities of the directors.
Meralco policies and implementing rules are consistent with its By-Laws and Articles of Incorporation.
